Not down. Not waterproof. Good for cool weather but not for winter and snow.
They fit the waist well but are too long. Definitely not fluffy at all and not very thick, just fluffy, so it doesn't get very warm in winter. And they're cheaply made. Thin material and not waterproof so not "winter pants" and not worth the money. I'm keeping them because I needed something warmer than just pants for my 20 month old at wild camp next week for my 20 month old, temps will be around 50 so they will be fine for that at least.
