Warm when dry, not waterproof.
I ride my bike to and from work in the rain or on a sunny day. They are very warm and fit well. They are not waterproof. Driving home in the rain today, first day I had them got my feet wet in just seven miles. Otherwise I am very satisfied with the fit and quality of the product.
